These Terms of Service ("Terms") govern your use of the Syntax Voice platform and services provided by Syntax Voice ("we," "us," or "our"). By creating an account or using our services, you agree to these Terms.

1. Service Description

Syntax Voice provides an AI-powered phone receptionist service for small and medium businesses. Our platform answers incoming phone calls using artificial intelligence, books appointments, takes messages, handles common inquiries, and transfers calls when needed.

2. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 18 years old and authorized to act on behalf of the business.
• One account per business entity. Multiple agents may be configured under one account.

3. Subscription & Billing

• Services are billed on a monthly subscription basis.
• Each plan includes a set number of minutes per billing period. Usage beyond the included minutes is billed as overage at the rate specified in your plan.
• Implementation fees are one-time charges for initial setup and configuration assistance.
• You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No partial refunds are provided.
• We reserve the right to change pricing with 30 days' notice.

4. Acceptable Use

You agree not to use Syntax Voice to:

• Make or facilitate illegal robocalls, spam, or unsolicited marketing calls
• Collect protected health information (PHI) or operate as a HIPAA-covered entity
• Impersonate a human without disclosing that the caller is speaking with an AI
• Engage in any activity that violates applicable telecommunications regulations
• Attempt to reverse-engineer, decompile, or extract our AI models or proprietary systems
• Use the service for emergency dispatch or as a replacement for 911 services
• Transmit malicious content, viruses, or conduct denial-of-service attacks

5. AI Disclosure & Consent

You acknowledge that our service uses artificial intelligence to handle phone calls. Depending on your configuration and jurisdiction, callers may be informed that they are speaking with an AI assistant. You are responsible for complying with all applicable laws regarding AI disclosure and call recording consent in your jurisdiction.

6. Call Recording

If you enable call recording, you are responsible for ensuring compliance with all applicable federal, state, and local laws regarding call recording and consent. Syntax Voice provides configurable consent modes (implicit, explicit, or disabled), but legal compliance remains your responsibility.

7. Data Ownership

• Your data: You retain ownership of your business data, call recordings, transcripts, and configurations. We process this data solely to provide the service.
• Our platform: We retain all rights to the Syntax Voice platform, AI models, software, and intellectual property.
• Aggregated data: We may use anonymized, aggregated data to improve our services and for analytics purposes.

8. Service Availability

We strive to maintain 99.9% uptime for call handling. However, we do not guarantee uninterrupted service. Planned maintenance windows will be communicated in advance. We are not liable for service disruptions caused by third-party providers (telephony, cloud hosting, AI services) or events beyond our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by law, Syntax Voice shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business, or data, arising from your use of the service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Syntax Voice from any claims, damages, or expenses arising from your use of the service, your violation of these Terms, or your violation of any applicable law or regulation.

11. Termination

We may suspend or terminate your account if you violate these Terms, fail to pay fees, or if continued service poses a risk to our platform or other users. Upon termination, you may request an export of your data within 30 days.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or dashboard notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved through binding arbitration, except where prohibited by law.
